Agreement to These Terms
These Terms of Service (the "Terms") form a legally binding agreement between you and Niuro SpA ("Niuro," "we," "us," or "our"), a company incorporated in Chile, concerning your access to and use of the Niuro recruitment platform, websites, and related services (the "Services").
By creating an account or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.
You must be at least 18 years old to use the Services. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Services after changes take effect means you accept the updated Terms.

1. Our Services
Niuro is a recruitment platform that connects companies with technology professionals across the Americas. We provide tools for talent matching, profile building, AI-assisted interviews and assessment, and coordination of selection processes. We act as a facilitator between companies seeking talent and professionals offering their services. We do not guarantee that any professional will be hired or that any company will find a suitable candidate, and we are not the employer of professionals matched through the Services unless expressly agreed in a separate written contract.
2. Accounts and Registration
You may create an account using your email address or through Google sign-in. You agree to provide accurate, complete, and current information, and to keep it up to date. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that contain false or misleading information or that violate these Terms.
3. Professionals and Hiring Companies
Professionals. If you use the Services as a candidate or community member, you may create a profile, upload your CV, take part in AI interviews, and be presented to hiring companies. You decide what information to share, and you can update or remove it as described in our Privacy Policy.
Hiring companies. If you use the Services on behalf of a company, you may receive candidate profiles and assessments to evaluate for your roles. You agree to use candidate information only for legitimate recruitment purposes, to keep it confidential, to comply with applicable employment and anti-discrimination laws, and not to make hiring decisions on prohibited discriminatory grounds. Additional commercial terms may apply under a separate agreement.
4. Your Content and the License You Grant Us
You retain ownership of the content you submit to the Services, including your CV, profile information, messages, and other materials ("Your Content"). You are responsible for Your Content and you represent that you have the rights necessary to share it and that it does not infringe the rights of others or violate any law.
You grant Niuro a worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, process, adapt, translate, analyze, and display Your Content to operate, provide, secure, develop, and improve the Services and our other products and offerings. This includes using Your Content to provide the Services to you and to the hiring companies you are matched with; to power and improve the AI features described below; to train, evaluate, and improve our models, features, and algorithms; to conduct research and analytics; and to create de-identified, anonymized, and aggregated data, statistics, and insights. We owe you no compensation for this use.
Derived data.Niuro exclusively owns all assessments, scores, models, algorithms, analytics, reports, and de-identified, anonymized, or aggregated data and insights that it generates from or derives using the Services ("Derived Data"). Our rights in Derived Data are perpetual and irrevocable, and we may use, retain, and commercially exploit Derived Data for any business purpose, including after your account is closed. Derived Data does not identify you.
When you delete Your Content or close your account, we stop using your identifiable Content to provide the Services, except for content retained as described in our Privacy Policy or required by law and copies already shared with a hiring company during a selection process. This does not affect Derived Data or any de-identified or anonymized data, which we may retain and use indefinitely. We may remove or restrict content that violates these Terms or applicable law.
5. AI Features and Interviews
The Services use artificial intelligence to parse CVs, conduct and analyze interviews, and generate scores, rankings, summaries, and feedback that help evaluate candidates. By using these features, you understand that:
- AI interviews may be recorded (audio and/or video) and transcribed, and you will be informed before an interview begins;
- AI-generated assessments are estimates that support human decision-making and may contain errors; and
- final decisions in a selection process are made by people, not solely by automated means.
How we process this data, and your right to request human review of automated assessments, are described in our Privacy Policy.
6. Acceptable Use
You agree not to:
- use the Services for any unlawful, fraudulent, or harmful purpose;
- provide false information, impersonate another person, or misrepresent your identity or affiliation;
- post or transmit content that is illegal, defamatory, harassing, hateful, discriminatory, obscene, or that infringes the rights of others;
- harvest, scrape, or systematically collect data or content from the Services without our written permission, or use bots, scrapers, or other automated means to access the Services;
- upload viruses or malicious code, or otherwise interfere with, disrupt, or overload the Services or their infrastructure;
- attempt to gain unauthorized access to any account, system, or data, or circumvent security or access controls;
- reverse engineer, decompile, or disassemble the Services, except to the extent permitted by law; or
- use the Services to compete with us or to build a similar or competing service.
7. Non-Circumvention
Where Niuro introduces or facilitates a connection between a professional and a hiring company, you agree not to use that connection to deliberately bypass the Services in order to avoid fees or obligations owed to Niuro, where such an arrangement is governed by a separate commercial agreement with us. This section does not restrict any professional's freedom to accept employment.
8. Fees
The Services are currently free for professionals. Fees for hiring companies, where they apply, are set out in a separate commercial agreement between Niuro and the company. We do not process payment card or bank account details of individual users through the platform. If we introduce paid features in the future, we will present the applicable terms before you incur any charge.
9. Intellectual Property
The Services, including all software, design, text, graphics, logos, and other content provided by us (excluding Your Content), are owned by Niuro or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Services or our content without our written permission. All rights not expressly granted are reserved.
10. Third-Party Services
The Services integrate with third-party providers, such as Google for authentication. We are not responsible for the content, policies, or practices of third-party services, and your use of them is governed by their own terms. Links to third-party websites are provided for convenience and do not imply our endorsement.
11. Privacy
Our Privacy Policy explains how we collect, use, share, and protect personal data, including interview recordings and AI-generated assessments. By using the Services, you acknowledge that your data may be processed by service providers located outside Chile, as described in that policy.
12. Term and Termination
These Terms apply while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if necessary to protect the Services or other users. On termination, the licenses you grant us end as described in Section 4, and provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.
13. Availability and Changes
We work to keep the Services available and reliable, but we do not guarantee uninterrupted access. We may change, suspend, or discontinue all or part of the Services, and we may perform maintenance that causes temporary interruptions. We will not be liable for any unavailability of the Services, and you are responsible for keeping your own copies of content you consider important.
14. Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI-GENERATED ASSESSMENTS WILL BE ACCURATE OR COMPLETE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY RIGHTS YOU HAVE UNDER MANDATORY CONSUMER PROTECTION LAW THAT CANNOT BE EXCLUDED OR LIMITED.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NIURO AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
16. Indemnification
You agree to indemnify and hold Niuro harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, Your Content, or your violation of any law or the rights of a third party.
17. Governing Law and Disputes
These Terms are governed by the laws of Chile, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts of Santiago, Chile. Before starting formal proceedings, the parties agree to first try to resolve the dispute informally by contacting each other. Nothing in this section affects any mandatory rights you may have, including the right to bring proceedings in your country of residence where consumer protection law so requires.
18. Electronic Communications
By using the Services, you consent to receive communications from us electronically, including by email and through the platform. You agree that electronic agreements, notices, and records satisfy any legal requirement that such communications be in writing.
19. Miscellaneous
These Terms and our Privacy Policy are the entire agreement between you and Niuro regarding the Services. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship between you and Niuro.
